1. Orders

1.1 Orders placed verbally, in writing, or electronically constitute a binding contract once confirmed by the Seller (Cranford Ironstone Company Ltd).
1.2 These Conditions govern all sales, overriding any other terms unless agreed in writing.
1.3 The Buyer is responsible for the accuracy of all order details, including measurements, quantities, and specifications.

2. Price

2.1 Prices are those confirmed at the time of order. If not confirmed, the Seller’s current price list applies at the time of delivery.
2.2 All prices are exclusive of VAT unless stated otherwise.
2.3 Discounts or special rates are discretionary and may be revoked or altered by the Seller.

3. Payment

3.1 Credit terms are subject to approval via completed credit application.
3.2 For credit-approved accounts, payment is due within 30 days of the invoice date. Non-credit accounts must pay prior to or upon delivery.
3.3 Interest of 5% per month (compounded daily) is payable on overdue invoices.
3.4 The Seller reserves the right to suspend deliveries for overdue accounts.

4. Delivery

4.1 Delivery dates are estimates and not guaranteed. Delays will not entitle the Buyer to cancel the order or claim damages.
4.2 Deliveries are made during business hours (Monday–Friday).
4.3 The Buyer must ensure safe and appropriate access to the delivery location, and provide adequate personnel or equipment for offloading.
4.4 Any delivery impeded due to site access, refusal, or absence of offloading facilities may result in additional charges (minimum £100 or 10% of order value).
4.5 The Seller reserves the right to charge for waiting time beyond a reasonable offloading window.
4.6 Signed delivery notes (or GPS/timestamp logs at unmanned sites) shall be conclusive proof of delivery.

5. Loss or Damage in Transit

5.1 Claims for loss or damage must be reported to both the carrier and the Seller within 24 hours of delivery.
5.2 The Seller may, at its discretion, replace or refund damaged or lost goods.

6. Risk and Ownership

6.1 Risk in the goods passes to the Buyer upon delivery.
6.2 Title remains with the Seller until full payment is received.
6.3 Until ownership passes, the Buyer must hold goods as bailee and store them clearly identified.
6.4 If resold before payment, the Buyer must hold sale proceeds on trust for the Seller and assign any resulting receivables upon request.

7. Returns & Refunds

7.1 All returns must be authorised in advance by the Seller.
7.2 Goods must be returned in original and resalable condition, and only within 14 days of delivery.
7.3 A restocking fee of 20% of the order value will apply unless otherwise agreed.
7.4 The Buyer is responsible for all return transport costs.
7.5 Shortages, damages, or discrepancies must be reported within 3 working days with photographic evidence. Claims made after this period may not be accepted.
7.6 Bespoke or cut-to-order materials are non-refundable and non-returnable unless faulty.

8. Advertising and Resale

8.1 The Buyer may not sell or market the Seller’s products under the Seller’s name, trademark, or branding without written permission.

9. Limitation of Liability

9.1 The Seller excludes all implied warranties to the extent permitted by law.
9.2 The Seller is not liable for any indirect or consequential loss (including loss of profit, contracts, or business).
9.3 The Buyer shall indemnify the Seller against all third-party claims arising from the Buyer’s use, resale, or installation of the goods.
9.4 Where the Buyer is a consumer under the Sale of Goods Act 1979, statutory rights are not affected.

10. Insolvency or Breach by Buyer

10.1 If the Buyer becomes insolvent, goes into administration, or breaches these Conditions, the Seller may:

  • Suspend further deliveries;
  • Reclaim delivered but unpaid-for goods;
  • Terminate the contract and demand immediate payment of all sums due.

11. Force Majeure

11.1 The Seller is not liable for any delay or failure to perform due to events beyond its reasonable control, including (but not limited to):

  • Acts of God, flood, fire, or extreme weather
  • Industrial action or labour shortages
  • Transport disruption or shortages
  • Government restrictions, war, or pandemics
    11.2 In such cases, delivery and performance obligations will be suspended for the duration of the event.

12. Data Protection

12.1 The Seller will handle the Buyer’s personal data in accordance with the UK GDPR and Data Protection Act 2018.
12.2 Information will be used for the purpose of processing orders, managing accounts, and (where opted in) marketing.
12.3 The Seller may share relevant information with credit reference agencies or insurers as part of due diligence.

13. Assignment

13.1 The Buyer may not transfer, assign, or subcontract any part of the contract without prior written consent from the Seller.

14. Notices

14.1 Any formal notice under these Conditions must be sent to the registered business address or primary email.
14.2 Notices sent by post are deemed served 2 working days after posting; emails are deemed received upon delivery confirmation.

15. Governing Law

15.1 These Conditions are governed by and construed in accordance with English law.
15.2 Any disputes will be subject to the exclusive jurisdiction of the English courts.
